Ms. Lorena de Marin’s practice focuses in corporate restructurings and Mergers & Acquisitions involving local and international corporations.
She is head counsel of the corporate practice group, offering a broad understanding and ample experience in strategic issues such as governance, designing of legal structure of joint ventures and strategic alliances, restructurings, and Mergers & Acquisitions.
Her solid experience in corporate practice, has enabled her to design, implement, coordinate and direct corporate due diligence teams and procedures in various jurisdictions, which have allowed our clients to ensure the projected value in the deals that she has managed.
Her experience includes the drafting of merger agreements, asset and stock purchase agreements, and other transaction documents in a wide spectrum of industries.
Additionally she is responsible for the incorporation of offshore entities in multiple countries, including Panama, Bahamas, Cayman Islands, British Virgin Islands, and Netherlands Antilles, where she has performed several transactions throughout the years.
